PLEASE READ CAREFULLY. BY ACCEPTING THESE TERMS OR BY REGISTERING FOR OR PARTICIPATING IN THE EVENT (AS DEFINED BELOW) YOU AGREE TO TO BE BOUND BY THESE TERMS AND CONDITIONS (“TERMS”). THE TERMS AND CONDITIONS IN THIS AGREEMENT ARE IN ADDITION TO ANY TERMS AND CONDITIONS ESTABLISHED BY THE VENUE.

Event Name: The HighLevel Summit

Event Description: The HighLevel Summit is an opportunity to learn from the best while networking with people who want to be the best. Attendees will hear from some of the masters of the marketing world and get a sneak peek of upcoming product and feature releases at LevelUp Day.

Event Dates: October 21st -24th, 2024

Venue: The Statler Dallas, Curio Collection by Hilton - 1914 Commerce St, Dallas, TX 75201

In consideration of being permitted to enter and remain at the Venue for the purpose of the Event organized by HighLevel, Inc. of 400 North Saint Paul St., Suite 920, Dallas, Texas 75201 (“HighLevel”), and in recognition of HighLevel’s reliance, the individual who participates, registers, or otherwise signs below (“Participant”) and, as applicable, on behalf of Participant’s employer, organization, heirs, assigns, executors, administrators, next of kin, and/or other persons acting or purporting to act on Participant’s behalf (collectively “Related Persons”), hereby acknowledge and agree to the terms below. Participant hereby expressly waives and releases any and all claims, now known or hereafter known, against HighLevel and its officers, directors, managers, employees, agents, affiliates, shareholders/members, successors and assigns (“Released Parties”) for any and all liability related to the Event. In addition, Participant agrees to the following:

  1. Admittance. In its sole discretion and without refund, HighLevel reserves the right to refuse admittance to or expel from the Event and Venue anyone that it determines is behaving in a manner that could be disruptive to the Event or pose any danger to any other participant. Participant consents and agrees that in such event, it shall not be entitled to a refund of any portion of amounts paid. Breach of any of the Terms herein shall entitle HighLevel to all available legal remedies.

  2. Assumption of Risks; Release and Waiver; Limitation of Liability. HighLevel and its Released Parties do not assume any liability or responsibility for and in relation to the Event or the Venue. HighLevel excludes any and all liabilities in relation to any professional advice, services or guidelines provided by HighLevel employees to the Participant, and any damages sugared by the Participant in relation to the Event. HighLevel does not guarantee that Participant will achieve any particular result or goals related to this Event. HighLevel disclaims all warranties related to information shared at the Event and is not responsible for Participant’s use of the knowledge gained at the Event or the applicability of this knowledge. TO THE EXTENT PERMITTED BY THE APPLICABLE RULES OF LAW, HIGHLEVEL DISCLAIMS AND EXCLUDES ANY AND ALL LIABILITIES RELATED TO DAMAGES OR INJURIES SUFFERED BY PARTICIPANT, INCLUDING AS A RESULT OF BREACHES OF THESE TERMS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARTICIPANT, ON BEHALF OF ITSELF AND RELATED PERSONS, HEREBY ACKNOWLEDGES AND KNOWINGLY, VOLUNTARILY, IRREVOCABLY AND FOREVER RELEASES, WAIVES, AND DISCHARGES EACH OF THE RELEASED PARTIES WITH RESPECT TO ANY AND ALL CLAIMS THAT PARTICIPANT OR ANY RELATED PERSONS MAY HAVE (OR HEREIN AFTER ACCRUE) AGAINST HIGHLEVEL OR ANY OF THE RELEASED PARTIES RELATED TO THE EVENT IN EACH CASE WHETHER CASES BY ANY ACTION OR INACTION (OTHER THAN GROSS NEGLIGENCE, RECKLESS CONDUCT, WILLFUL/WANTON CONDUCT OR INTENTIONAL ACTS) OF ANY RELEASED PARTY OR OTHERWISE. HIGHLEVEL AND ITS RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY LOSS, LIABILITY, OR DAMAGE TO PERSONAL PROPERTY.

  3. Safety Protocols and Policies. Participant’s admission to the Venue and attendance at the Event is subject to any health, safety, or other policies, assessments, precautions, and protocols put in place by local, state, and federal governmental agencies, the Venue and or HighLevel or third parties. Failure to comply with protocols or policies shall automatically terminate any rights that Participant may have hereunder and shall otherwise the Venue and/or HighLevel to refuse admission or eject Participant from the Venue and Event, without refund. HighLevel retains the right to pursue all legal remedies available to it and the Released Parties for Participant’s failure to comply with protocols and policies.

  4. Confidentiality. Any confidential information exchanged at the Event shall be subject to the Non-Disclosure Agreement between the parties.

  5. Disclosure of Personal Information. By attending the Event, Participant agrees to allow HighLevel to process all personal information provided in registration, participation, or attendance of the Event in accordance with HighLevel’s Privacy Policy.

  6. Insurance. Participant is solely responsible for acquiring the necessary insurance in connection with attending the Event.

  7. Event Amendments and Disclaimers. HighLevel and any other organizer of the Event reserve the right to make changes to the agenda, format, speakers, location and any other aspect of the Event without notice and without liability to Participant. HighLevel may at any time, with or without giving notice, in its absolute discretion and without giving any reason, change, cancel or postpone the conference, changes its venue or any of the other published particulars, or withdraw an invitation to attend.

  8. Speakers, Sponsors, and Exhibitors. Views expressed by any attendee, speaker, exhibitor or sponsor at the Event are their own. HighLevel shall have no liability for advice given, views expressed, by any attendee, speaker, exhibitor or sponsor at the Event or in any materials provided to the attendees.

  9. Photographs, Videos, Publicity Materials, Media. HighLevel may photograph or make audio or visual recordings of the Event and its Participants. Participant consents to being photographed or video recorded and grants HighLevel a perpetual, non-exclusive, transferrable, and royalty-are license to use Participant’s image, voice, and likeness for commercial or other purposes. Unless previously agreed to in writing between HighLevel and the applicable party, Participant may not take photos, videos, create copies of or otherwise distribute, by any means, including but not limited to live-streaming, any content made available at the Event.

  10. Non-transferable; No Refunds. Tickets for the Event grant admission only to the individuals to or for whom they are issued. Tickets are non-transferable, and any individual attempting to gain entry with a ticket not in their name will be denied admission. All Event ticket sales are final. Participants are not entitled to a refund for any purchased tickers under any circumstances.

  11. Force Majeure. HighLevel is not liable for any delay in performing, or failing to perform, any obligations under these Terms to the extent the delay or failure to perform is caused by a Force Majeure Event. “Force Majeure Event” means an event beyond a party’s reasonable control. A Force Majeure Event that is continuous, but changes in severity or impact, may constitute more than one Force Majeure Event. For example, Covid-19 related issues can be fluid and newly imposed restrictions or warnings, or travel inaccessibility, may cause a new Force Majeure Event to occur. A Force Majeure Event includes, but is not limited to, the following: (a) an act of God (whether or not caused by human action), such as earthquake, fire, flood, hurricane, mudslide, bacterial or viral outbreak, pandemic, epidemic, or other outbreak of communicable disease (including Covid-19 and its variants and mutations), tornado, tsunami, volcanic activity, wildfire, and other natural disasters; (b) an act of a government agency or civil or military authority, or civil disturbance, such as civil war, embargo, insurrection, martial law, military action, order, ordinance, or regulation (including any officially declared emergency or any closing or limiting of business operations, travel, or use of private or public transportation or other mobility), rebellion, revolution, riot, and war; (c) malicious acts or damage, such as sabotage, terrorism, vandalism, or cyberattack; (d) an accident, such as one involving aircraft, motor vehicle, ship, or train, or any chemical release, collision, explosion, fire, radiation or radioactive contamination, or a negligent act causing damage; (e) a protracted failure of an air, gas, water, electrical, or other energy source, or of a broadband, radio or television broadcast, cellular, internet, satellite, telephone, or other communication system; and (f) other events of similar nature.

  12. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware.
